Vice President, Global Transactions
Copenhagen Infrastructure Service Company (CISC) – a company working exclusively for the global fund management company Copenhagen Infrastructure Partners (CIP), is currently looking for a Vice President to join our Global Transactions team in Copenhagen, Denmark.
The role
As our new Vice President, you will join a dynamic and highly experienced transaction team, supporting CIP in executing a diverse range of renewable energy investments across various technologies and geographies.
We provide comprehensive support to the CIP funds in all transaction processes (acquisitions, divestments, restructurings, and co-investments) and oversee various workstreams throughout the lifecycle of renewable investments. Additionally, we play a pivotal role in managing relationships with our key partners, negotiating, and managing framework agreements for collaborative ventures.
The team was established 2 years ago and comprises experienced experts with diverse educational (commercial, financial, and legal) and cultural backgrounds. Key responsibilities will consist of:
- Providing overall transaction support in close collaboration with the CIP partners/investment team responsible for our Energy Transition Fund that focuses on Power-to-X investments
- Leading, drafting, and negotiating a wide array of transaction documents, including Letters of Intent (LoIs), Non-Binding Offers (NBOs), term sheets, share purchase and divestment agreements, shareholder agreements, financing agreements, development agreements, EPC and offtake agreements, and other project-related agreements in cooperation with internal and external stakeholders
- Preparing or managing the preparation of sell-side marketing material such as information memoranda, financial models, due diligence reports and process letters in close cooperation with internal stakeholders and external advisors
- Critically analyzing potential transactions from a strategic, commercial and financial perspective, including analyzing investment structures and external financing to support the equity investment
- Provide high-quality legal and commercial analysis and presentations to support informed management decisions
- Working closely with and managing top tier external stakeholders consisting of legal, financial, and technical advisors, managing the relationship with external investment partners as well as engaging with internal senior CIP stakeholders across functions
- Leading, managing and providing overall transaction support related to CIP’s co-investment offering to the various limited partners that have invested in the funds
- Being a senior member of an international and dynamic team dedicated to executing projects and delivering tangible value to investments across diverse technologies, geographies and investment types
- Mentoring and developing the more junior team members.
You
We seek a self-driven and analytical professional with a strong academic background, holding a relevant master’s degree in law and/or business from a leading university or business school.
The ideal candidate has minimum 10 years of full-time experience in transaction processes (acquisitions, divestments, restructurings, and co-investments) and a commercial mindset.
Your expertise should ideally encompass strong project management skills and experience in the broader disciplines of corporate finance, including transaction agreements, good negotiation skills and a solid understanding of the assumptions behind a business case and various valuation principles.
